1.The Provider makes available to the Client and its users defined in the SCOPE OF LICENSE (hereinafter "Users") the software AlpenCore (hereinafter "Software") as Software as a Service (SaaS). The Software is a web application that enables the Client to create, edit, and store contract templates and documents. Access to and use of the Software is internet-based via the website https://app.alpencore.ch (hereinafter "Website"). The Provider does not provide legal advice to the Client or Users.

7.This contract, together with its appendices, conclusively governs the use of the Software by the Client and Users. In the event of discrepancies between the quotation including its appendix and this contract, the quotation including its appendix shall prevail.
12.The Provider makes storage space available on its servers to the Client and Users, which may be used for the storage of legal and contract data as well as other data related to the use of the Software. The servers are located in Switzerland. The Provider ensures that the stored data is accessible via the internet within the limits of technical capabilities. However, the Provider cannot guarantee any level of availability.
16.Should the scope of functions no longer be available in individual cases for technical or legal reasons, the Provider is entitled to adjust the costs and services by written notice to the Client, effective as of the next possible termination date. If the Client does not wish to continue the contract at the changed rates, the Client is entitled to extraordinary written termination with 30 days' notice effective as of the date of the change.
23.Support and other inquiries from the Client and Users sind are to be directed primarily to customer service via Intercom on the website or by email to contact@alpencore.ch. The Provider will generally respond to inquiries during business hours within two business days.
25.The LICENSE FEES.
27.Payment is made by invoice. The LICENSE FEES are invoiced to the Client in advance. If payment is not made within the specified period, the Provider's obligation to perform shall be suspended until payment is received.
29.If the contracting party falls into payment default, the contractor is entitled to charge REMINDER FEES of CHF 50.00 per reminder. Payment default occurs 30 days after the invoice is dispatched. Reminders are sent weekly in the event of payment default. After the third reminder, the case is forwarded to debt collection. All costs incurred in this regard shall be borne by the defaulting debtor.
30.If the contractor breaches a contractual obligation, particularly the timely performance of the service, a contractual penalty of CHF 1'000.00 per day of delay, up to a maximum of 5% of the total contract value, shall be payable upon the third reminder. The right to claim further damages remains reserved.
31.The Client is obligated, to inform its Users of the provisions and obligations under this contract that concern them. In particular, the Client shall instruct its employees and Users not to make copies of the Software and not to disclose access credentials to third parties.
32.The Client is obligated, to prevent unauthorized third-party access to the Software through appropriate precautions. The Client and User haben must immediately inform the Provider of any unauthorized use of usernames and passwords or other attacks on security. In such cases, the Provider will change the User's username and password in consultation with the Client or User.
33.The Client and Users are responsible for the accuracy and consistency of the data they enter and for the person- or case-related assignment. The Provider stores the data in the form in which it is entered by the Client or Users. The Client and User undertaken (i) not to store any content on the storage space whose provision, publication, and use violates applicable law or agreements with third parties, and (ii) to make efforts to ensure that Users also do not store any content on the storage space whose provision, publication, and use violates applicable law or agreements with third parties.
35.The Client undertakes, to indemnify the Provider, to the extent possible, against all claims by third parties (including Users) based on the data stored by the Client and to reimburse the Provider for all costs incurred due to possible legal violations.
37.The Provider collects and processes the data of the Client and Users to the extent necessary for the operation of the Software and the provision of services. It acts here as the data controller within the meaning of the applicable data protection law. Data processing is carried out in accordance with the privacy policy (available at https://www.alpencore.ch/privacy-policy) of the Provider. In all other respects, the Data Processing Agreement dated July 1, 2023 applies.
46.The Provider excludes all liability towards the Client (or any third party), in particular for the fulfillment of its contractual and non-contractual obligations and for loss of data and lost profits (including for slight and moderate negligence). This exclusion of liability also applies to damage arising directly or indirectly from the use of the Software. All statutory liability claims against the Provider are expressly excluded.
51.Each party is entitled to terminate this contract at any time without notice for good cause. Good cause for the immediate termination of this contract by the Provider exists in particular if:
